1. About You and Us

Who we are. We are Baryonminds Ltd, the company behind the Revaliyo app. In these Terms, "Revaliyo", "we", "us" and "our" refers to Baryonminds Ltd.

What we do. We own and manage the Revaliyo application (our App) where we provide the following services (our Services):

• A platform where registered users can list pre-loved items for swapping or giving away.
• A community-based peer-to-peer exchange environment where users can connect, propose swaps, request giveaway items, and arrange in-person exchanges.
• A retail voucher rewards system made available to subscribers.
• Optional premium features available via in-app purchase.

We act solely as a platform connecting users. We are not a party to any exchange, swap, or giveaway transaction between users. We do not buy, sell, swap, or give away items on the App and have no involvement in the physical exchange of items between users.

About you. You are one of our users who has created a Revaliyo account, uses our Services for personal non-commercial purposes only, has the legal capacity to use the App, and agrees to these Terms and our Community Guidelines.

Younger users. The App is intended for users aged 13 and above. We do not knowingly collect personal information from children under the age of 13. If we become aware that we have collected personal data from a child under 13, we will take steps to delete that information promptly. If you believe a child under 13 has provided us with personal information, please contact us at support@revaliyo.com.

2. About These Terms

About these Terms. These Terms and Conditions (the Terms) are a legal agreement between you and us and govern your use of our App and Services. You agree to these Terms when you register for an Account or when we notify you of updates.

Defined terms. Capitalised terms in bold throughout these Terms are defined terms with specific meanings as explained in context.

Community Guidelines. Our Community Guidelines, which govern acceptable behaviour and listing standards on Revaliyo, form an essential part of these Terms. Where anything in these Terms conflicts with the Community Guidelines, the Community Guidelines take precedence.

3. How to Contact Us

To report issues. If you believe another user has done something illegal, violated someone's rights, or breached these Terms, you can report it via the in-app reporting tool or by emailing us at support@revaliyo.com.

For general questions. You can contact us at any time by emailing support@revaliyo.com. We aim to respond within 5 business days.

For privacy matters. For any data protection or privacy-related enquiries, please contact us at privacy@revaliyo.com.

4. Becoming a Revaliyo User

How to create an Account. To create your Account, you will need to provide your email address (or use Sign In with Apple) and create a unique username. You will need to verify your email address to complete registration.

Account security. You are responsible for keeping your Account login details secure. Please notify us immediately if you believe someone has gained unauthorised access to your Account.

One Account per user. It is recommended that each user maintains a single Revaliyo Account to ensure a consistent and secure experience. If your Account is compromised or blocked due to unauthorised access by a third party, you may create a new Account after verification.

Account verification. At any time during your use of our Services, we may ask you to verify information associated with your Account or provide additional information. If you do not cooperate, we may restrict or block your Account.

Guest access. Users may browse the App as a guest without creating an Account. Guest users may view active listings but cannot initiate swaps, request giveaways, upload listings, message other users, or access proposals. Guest access does not create a contractual relationship between you and us under these Terms.

5. Using Information You Share With Us

How we use your personal data. We process your personal data to fulfil our obligations under these Terms and to provide you with our Services. Please read our Privacy Policy for full details on how we collect, store, use, and protect your personal data.

Your content. Your Content includes any listings, photos, descriptions, messages, and reviews you submit when using our Services. By uploading Content, you grant Baryonminds Ltd a non-exclusive, royalty-free, worldwide licence to use, reproduce, display, and distribute your Content for the purposes of operating, improving, and promoting the Revaliyo App. You can opt out of your Content being used for promotional purposes at any time by contacting us at support@revaliyo.com.

6. What You Must and Must Not Do

You must:

• Comply with these Terms and all applicable UK laws.
• Provide truthful, accurate, and up-to-date information about yourself and your listings.
• Keep your Account login details secure and inform us of any unauthorised access.
• Only list items you personally own and have the right to swap or give away.
• Behave respectfully and honestly in all interactions with other users.
• Arrange in-person exchanges safely and in public places where possible.

You must not:

• Do anything illegal, unethical, or that infringes the rights of others.
• List items that are prohibited under our Community Guidelines, including counterfeit goods, stolen items, hazardous materials, weapons, controlled substances, or any item whose transfer is restricted by UK law.
• List, sell, or promote any item that is illegal, counterfeit, stolen, or otherwise prohibited under applicable law, including narcotics, controlled substances, or drug paraphernalia.
• Upload, post, or share pornographic, sexually explicit, or obscene material, nor any content that promotes violence, terrorism, hate speech, or discrimination.
• Use, reproduce, or distribute any content that infringes copyright, trademark, patent, or other proprietary rights.
• Impersonate another person, misrepresent identity, or engage in any fraudulent or deceptive activity.
• Attempt to bypass, disable, or interfere with any security feature, moderation tool, or authentication mechanism of Revaliyo.
• Collect, disclose, or share personal information of other users without their explicit consent.
• Use the platform for money laundering, gambling, pyramid schemes, or other unlawful financial transactions.
• Promote or trade in products involving animal cruelty, endangered species, or illegal wildlife.
• Distribute malware, spam, or any harmful code that may disrupt or damage the platform or user devices.
• Use automated tools, bots, scraping programs, or any external software to access or extract data from the App without our prior written consent.
• Publish content that promotes hatred, discrimination, violence, terrorism, self-harm, exploitation of minors, or any other unlawful or harmful activity.
• Use the App for any commercial or professional purposes, including reselling items purchased in bulk.
• Promote other websites, apps, or businesses through your listings, profile, or messages.

7. Our Rights to Handle Concerns

Corrective actions. If we find that you are breaching these Terms or acting unlawfully, we may take any of the following actions:

• Send you a warning message.
• Remove or hide your listings or Content from the App.
• Restrict your Account by blocking access to certain features.
• Notify the relevant authorities if there is a threat to someone's life or safety.

Blocking your Account. We may temporarily or permanently block your Account if you repeatedly breach these Terms after receiving a warning, commit a serious breach, or if your Account poses a safety or legal risk to other users or the platform. When your Account is blocked, your active listings will be removed, you will no longer be able to initiate or receive proposals, and we may prevent you from creating a new Account.

Proportionality. Any corrective action will be proportionate to the seriousness of the breach and will take your interests into account.

Your right to appeal. If you disagree with a corrective action or Account block, you may appeal by contacting us at support@revaliyo.com within 14 days of receiving our notification.

8. Listings on Revaliyo

What you can list. You may list pre-loved, personally owned items on Revaliyo for swapping or giving away, provided you are the lawful owner, the item complies with our Community Guidelines, and the item is not prohibited by UK law.

Listing requirements. Each listing must include at least one clear photo taken by you and an accurate written description that honestly reflects the item's condition, including any defects or alterations.

Listing types. Each item must be listed as either a Swap Listing or a Giveaway Listing.

Withdrawing a listing. You may withdraw or delete a listing at any time, provided no active accepted proposal or In Progress exchange is associated with it.

Admin review. Listings are subject to review by our admin team. We reserve the right to approve, reject, or remove any listing that does not comply with these Terms or our Community Guidelines. You will be notified of the outcome of any admin review.

9. Swaps

How swaps work. A Swap is an arrangement between two users to exchange their respective items directly with each other at no monetary cost. Revaliyo facilitates the connection but is not a party to any swap.

Initiating a swap. A registered user (the Requester) may send a swap proposal to a listing owner (the Listing Owner) by selecting one or two of their own active listings as the proposed exchange.

Accepting or rejecting. The Listing Owner may accept or reject any swap proposal at their sole discretion. Accepting a proposal opens a dedicated in-app chat for coordination.

Withdrawal. Either party may withdraw from a swap at any time before both parties have confirmed collection. Once both parties have confirmed collection, the swap is considered complete and cannot be reversed.

Multiple proposals. All other proposals are locked On Hold when one is accepted. Locked proposals are unlocked if the accepted swap is withdrawn or cancelled before completion.

Completion. A swap is marked as Completed when both the Requester and the Listing Owner individually confirm within the App that they have collected the other party's item.

10. Giveaways

How giveaways work. A Giveaway is an arrangement where a Listing Owner offers an item to another user at no cost and with no item required in return. Revaliyo facilitates the connection but is not a party to any giveaway.

Requesting a giveaway. A registered user may send a giveaway request to a Listing Owner. Each user may only submit one giveaway request per listing. A user who has previously withdrawn interest in a giveaway listing cannot re-request the same listing.

Accepting or rejecting. The Listing Owner may accept or reject any giveaway request at their sole discretion.

Withdrawal. The Listing Owner may cancel the pickup at any time before both parties have confirmed collection. The requester may withdraw interest before confirming collection but will be permanently blocked from re-requesting the same listing.

Completion. A giveaway is marked as Completed when both the Listing Owner taps "Mark as Given" and the Requester taps "Mark as Collected" within the App.

11. In-Person Exchanges

How exchanges take place. All swaps and giveaways are completed through in-person meetups arranged between users via the in-app chat. Revaliyo does not facilitate, supervise, arrange, or oversee any physical exchange of items.

User safety. You are solely responsible for your own safety during any in-person exchange. We strongly recommend meeting in safe, well-lit, public places and bringing a trusted person where possible.

Revaliyo's role. Revaliyo is purely a platform connecting users. We accept no liability for anything that occurs during or as a result of an in-person meetup between users, including loss, theft, damage, personal injury, or any other harm.

Location sharing. When you share your live location via the in-app chat, you do so voluntarily and at your own risk. Please only share your location with users you trust.

No dispute resolution. Revaliyo does not offer a dispute resolution service for swap or giveaway exchanges. Any disputes arising from an exchange are to be resolved directly between the users involved.

12. Retail Voucher Rewards

How vouchers work. Revaliyo offers UK retail voucher rewards to users who have an active premium subscription. Vouchers are made available to subscribers upon purchase of a subscription.

Voucher availability. The retail vouchers available, their value, and the participating UK retail partners are determined by us and may change from time to time. We will notify subscribers of any material changes.

Voucher terms. Vouchers are subject to the terms and conditions of the individual retail partners. Revaliyo is not responsible for the redemption, validity, or fulfilment of vouchers once made available to you.

Non-transferable. Vouchers are non-transferable, have no cash value, and may not be sold, exchanged, or transferred to another user.

Expiry. Vouchers may have an expiry date set by the relevant retail partner. Expired vouchers cannot be replaced or refunded.

13. Premium Subscription and In-App Purchases

Free access. Revaliyo is free to download and use. Core features are available to all registered users at no cost.

Premium subscription. We offer an optional premium subscription which provides access to enhanced features and retail voucher rewards. Full details are displayed in the App before purchase.

In-app purchases. Purchases are processed through Apple's in-app purchase system (Apple IAP) and are subject to Apple's terms and conditions.

Pricing. The cost of the premium subscription is displayed clearly in the App before you purchase. We reserve the right to change pricing with reasonable advance notice to existing subscribers.

Cancellation. You may cancel your premium subscription at any time through your Apple ID account settings. Cancellation takes effect at the end of the current billing period. We do not offer refunds for unused portions of a subscription period, except where required by UK law.

Changes to premium features. We reserve the right to add, modify, or remove premium features at any time. Where changes materially reduce the value of an existing subscription, we will notify you in advance and provide the option to cancel without penalty.

14. Ratings and Reviews

Leaving a review. After a swap or giveaway is completed, both parties are invited to rate and review each other. Reviews are voluntary and optional.

Review standards. All reviews must be honest, fair, and based on your genuine experience. Reviews must not contain defamatory, abusive, offensive, or false statements. We reserve the right to remove any review that breaches these standards.

Review visibility. Submitted reviews are visible on the reviewed user's public profile. Once submitted, reviews cannot be edited or deleted by the reviewer.

No compensation. We do not offer any compensation, reward, or incentive for leaving a review.

15. Ending Our Relationship

You can end it. You may end your relationship with Revaliyo and delete your Account at any time, free of charge, through your Account settings or by emailing support@revaliyo.com.

Paid Accounts. Where the User has subscribed to a paid plan, the Account shall remain active until the final day of the applicable billing cycle. Upon expiry of the billing period, continued access shall be subject to renewal of the subscription.

Unpaid Accounts. Where the User has not subscribed to a paid plan or has failed to renew the subscription, the Account shall remain accessible in a non-editable mode. The User may view existing data and content but shall not be permitted to create, modify, or upload new material until payment is received and the subscription reactivated.

General Provisions. Revaliyo reserves the right to suspend or restrict access to any Account that is inactive, unpaid, or in breach of these Terms. Restoration of full functionality shall occur upon settlement of outstanding dues or compliance with applicable requirements.

What happens. Upon Account deletion, your listings will be removed and your profile will no longer be visible. We will retain certain data as required under our Privacy Policy and applicable UK law.

Survival. Sections relating to intellectual property, liability, and dispute resolution will continue to apply after these Terms end.

16. Intellectual Property

Our App. Baryonminds Ltd owns all intellectual property rights to the Revaliyo App, including its design, layout, software, branding, trademarks, and content created by us.

Your content. You retain ownership of all Content you upload to Revaliyo, subject to the licence granted in Section 5.

No copying. You must not adapt, copy, reproduce, distribute, or commercialise any content owned by us without our prior written consent.

App availability. We are not responsible for interruptions to the availability of the App caused by maintenance, technical issues, or events beyond our reasonable control.

17. Liability

Our role. Revaliyo is purely a platform connecting users. We are not a party to any swap, giveaway, or in-person exchange between users.

What we are always responsible for. Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation by us, or any other matter that UK law does not permit us to limit or exclude.

What we are not liable for. To the fullest extent permitted by UK law, we are not liable for:

• The condition, quality, safety, legality, or accuracy of any item listed on the App.
• Any automated or AI-generated outputs, including estimated prices, valuations, or recommendations displayed within the App. The User acknowledges that such information is produced algorithmically and may contain errors or approximations. Accordingly, the estimated price shall not be regarded as the definitive or best market price, and Revaliyo Ltd accepts no responsibility for any reliance placed upon such data.
• Any indirect, incidental, or consequential loss arising from the use of the App, including reliance on AI-generated information or pricing estimates.
• Any loss, damage, theft, injury, or harm occurring during or as a result of any in-person exchange between users.
• Any failure by a user to honour a swap or giveaway agreement.
• Any loss of expected savings, income, revenue, or profit arising from your use of the App.
• Any indirect or consequential loss arising from your use of, or inability to use, the App or Services.
• Technical errors, interruptions, or data loss caused by circumstances beyond our reasonable control.
• Unauthorised access to your Account where you have failed to keep your login details secure.
• The conduct, actions, or omissions of any other user on the platform.

Limit on our liability. Our total liability to you for all claims arising from or connected with these Terms or your use of the App is limited to the greater of the amount you paid to us in the 12 months preceding the claim, or £100.

Your consumer rights. Nothing in these Terms affects your statutory rights as a consumer under UK law.

18. How Disputes Will Be Handled

Disputes between users. Revaliyo does not provide a dispute resolution service for disagreements between users in connection with swaps, giveaways, or in-person exchanges. Users are responsible for resolving such disputes directly between themselves.

Disputes between you and us. If you have a disagreement with us, please contact us at support@revaliyo.com in the first instance. If we are unable to resolve the matter through direct contact, you may refer it to a national consumer body for alternative dispute resolution or submit a claim to the courts of your habitual residence in the United Kingdom.

Governing law. These Terms are governed by the laws of England and Wales. If you live in Scotland or Northern Ireland, you may also bring claims in the courts of the country where you live.

19. Final Important Terms

Updates to these Terms. We may update these Terms from time to time. Depending on the nature of the change, we will notify you as follows:

If you do not wish to accept updated Terms, you may close your Account free of charge. Changes will not apply retrospectively to interactions already completed on the App.

Assignment. We may transfer our rights and obligations under these Terms to another organisation with 15 days' prior notice. If you disagree, you may close your Account. You may not transfer your rights or obligations to any other person.

No partnership. These Terms do not create a partnership, joint venture, or agency relationship between you and us.

Severability. If any section of these Terms is found to be unlawful or unenforceable, the remaining sections will continue in full force and effect.

Entire agreement. These Terms, together with our Privacy Policy and Community Guidelines, constitute the entire agreement between you and us in relation to your use of Revaliyo.
